AHCA Seeks Nominations

Article VI, Section 2 of our current By-laws states that in each fall and winter issue of The Bagpipe, a nomination form shall be included so members at large may nominate a candidate for the Board of Directors At Large for consideration by the Nominations Committee. These nominations must be received by AHCA prior to January 31st of the current election year. Nominees for Director At Large must be active members of AHCA and willing to serve for at least three years.

A Director At Large is the director elected by the members of AHCA as opposed to Regional Directors who are elected or appointed by the regional associations. Directors At Large are elected for a three year term and may serve two consecutive terms.

Here is your opportunity to nominate a candidate for consideration by the Nominations Committee. The Board of Directors has adopted the following:

Expectations of AHCA Directors Directors of the American Highland Cattle Association shall:

  • Attend in person the regular annual meeting of the Association (convention)
  • Attend in person at least one other duly noticed special meeting of the Board per year (e.g. Denver)
  • Participate via teleconference in duly noticed special meetings of the Board and in meetings conducted by committees, including subcommittees, of which the Director is a member
  • Contribute meaningfully to the work of his or her assigned committees and of the Board
  • Keep confidential non-public information disclosed to the Director in the course of fulfilling duties of the Board and the specific nature of any board deliberation
  • Sign and agree to Code of Conduct, five policies of the Board and Expectations of AHCA Directors

In keeping with the By-laws (Article III, Section 6) if any Director, at large or regional, be absent from more than two successive regularly scheduled meetings of the Board, said absence not being excused by a majority of the other Directors, the remaining Directors may declare his or her position vacant. In the event a Director is absent from three consecutive (regular or special) meetings, or three out of four meetings (regular or special) this shall cause the automatic removal of the Director.
